Terms of Service

These Terms of Service ("Agreement" or "Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Maveda LLC, doing business as "Beacon" and "Beacon Accessibility" ("Beacon," "we," "us," or "our"), governing your access to and use of the Beacon web accessibility testing and compliance platform (the "Service" or "Platform"). By creating an account, accessing the Platform, or using any part of our Service, you expressly agree to be bound by all terms, conditions, and policies referenced herein.
1. DEFINITIONS
For purposes of this Agreement, the following terms shall have the meanings set forth below:
- "Service" or "Platform" means the Beacon web accessibility testing and compliance platform, including all features, tools, APIs, and related services accessible at beaconaccessibility.com and any associated subdomains.
- "User," "you," or "your" refers to any individual or entity that creates an account, accesses, or uses the Service.
- "Account" means the user profile and credentials you create to access and use the Service.
- "Content" means any data, text, information, URLs, scan results, reports, or other materials uploaded, submitted, or generated through your use of the Service.
- "Subscription" or "Subscription Plan" means the paid service tier (Starter, Professional, or Enterprise) you select, as described in Section 5.
- "Scan" means an automated accessibility test performed by the Service on a website or web application you designate.
- "WCAG" means the Web Content Accessibility Guidelines published by the World Wide Web Consortium (W3C).
- "Intellectual Property" includes patents, copyrights, trademarks, trade secrets, and any other proprietary rights, whether registered or unregistered.
2. ELIGIBILITY AND ACCOUNT CREATION
2.1 Age Requirement
You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old. We do not knowingly collect information from or direct any of our content specifically to individuals under 18 years of age. If we learn that a user is under 18, we will promptly terminate that account.
2.2 Account Registration
To access the Service, you must create an account by providing accurate, current, and complete information, including but not limited to your full name, valid email address, and a secure password. You agree to update your account information promptly if it changes.
2.3 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Immediately notify us of any unauthorized use of your account or any other breach of security;
- Ensure that you log out from your account at the end of each session;
- Use a strong, unique password and enable two-factor authentication if available.
We will not be liable for any loss or damage arising from your failure to comply with these security obligations.
2.4 One Account Per User
Each user may maintain only one active account. Creating multiple accounts to circumvent usage limits, access restrictions, or billing requirements is strictly prohibited and may result in immediate termination of all your accounts.
3. LICENSE GRANT AND RESTRICTIONS
3.1 Limited License
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes or personal use, in accordance with the features and limitations of your selected Subscription Plan.
3.2 Restrictions on Use
You agree that you will not, and will not permit any third party to:
- Copy, modify, adapt, translate, or create derivative works of the Service or any part thereof;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service;
- Rent, lease, sublicense, sell, assign, distribute, or otherwise transfer your rights to use the Service;
- Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Service;
- Use the Service to build a competitive product or service or copy any features, functions, or graphics of the Service;
- Access the Service by any means other than through the interfaces provided by us;
- Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material;
- Use any automated system (including robots, spiders, or scrapers) to access the Service in a manner that sends more request messages than a human could reasonably produce in the same period;
- Circumvent, disable, or interfere with security-related features or features that prevent or restrict use or copying of any content;
- Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.
4. ACCEPTABLE USE POLICY
4.1 Permitted Uses
You may use the Service solely to:
- Scan websites and web applications for WCAG accessibility compliance;
- Generate accessibility reports and compliance documentation;
- Track and manage accessibility issues for websites you own, control, or have explicit authorization to test;
- Integrate the Service with your development, QA, or compliance workflows via our provided APIs (subject to API rate limits).
4.2 Prohibited Uses
You agree not to use the Service to:
- Scan or test any website or web application without proper authorization from the owner;
- Violate any applicable local, state, national, or international law or regulation;
- Infringe upon or violate the intellectual property rights or privacy rights of any third party;
- Transmit any Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable;
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity;
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service;
- Interfere with or disrupt the Service, servers, or networks connected to the Service;
- Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks;
- Use the Service for any form of spam, unsolicited advertising, or commercial solicitation;
- Collect or harvest any personally identifiable information from the Service or other users;
- Use the Service to develop, train, or improve any competing product or service;
- Violate the security, integrity, or availability of any user, network, computer, or communications system.
4.3 Content Responsibility
You are solely responsible for all Content you submit through the Service, including the URLs you scan and any data collected during those scans. You represent and warrant that:
- You own or have the necessary rights to scan the websites you submit;
- Your use of the Service will not infringe upon or misappropriate the intellectual property rights of any third party;
- Your Content complies with all applicable laws and regulations.
4.4 Enforcement
We reserve the right, but have no obligation, to:
- Monitor your use of the Service for compliance with these Terms;
- Remove or disable access to any Content that violates these Terms;
- Suspend or terminate your account for violations of these Terms;
- Cooperate with law enforcement authorities regarding any illegal use of the Service.
5. SUBSCRIPTION PLANS, BILLING, AND PAYMENT
5.1 Subscription Plans
Beacon offers the following Subscription Plans:
- Free Plan: Limited features with restrictions on the number of projects, scans per month, and scan depth. No payment required.
- Starter Plan: Enhanced features with increased project limits, scan frequency, and scan depth. Requires monthly or annual payment.
- Professional Plan: Advanced features with significantly higher limits on projects, scans, and depth. Requires monthly or annual payment.
- Enterprise Plan: Unlimited projects and scans with custom features, dedicated support, and custom integrations. Pricing and terms are subject to a separate Enterprise Agreement.
Specific features, limits, and pricing for each plan are detailed on our pricing page at beaconaccessibility.com/pricing and may be updated from time to time at our sole discretion.
5.2 Billing Cycle
Paid Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan you select) starting from the date you subscribe. Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date.
5.3 Payment
You agree to pay all fees associated with your selected Subscription Plan. Payment is processed through our third-party payment processor, Stripe. By providing your payment information, you:
- Authorize us to charge your payment method for all fees incurred;
- Represent and warrant that you have the legal right to use the payment method you provide;
- Agree to pay any applicable taxes (sales tax, VAT, GST, etc.) in addition to the subscription fees.
All fees are in U.S. dollars unless otherwise specified.
5.4 Price Changes
We reserve the right to modify our pricing at any time. If we change the price of your Subscription Plan, we will provide you with at least 30 days' advance notice via email. The new pricing will take effect at the start of your next billing cycle after the notice period. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.
5.5 Late Payment and Failed Charges
If your payment method fails or your account becomes past due:
- We may suspend your access to the Service until payment is received;
- You remain responsible for all unpaid fees;
- We may charge a late fee or interest on overdue amounts as permitted by law;
- We may attempt to re-charge your payment method;
- We reserve the right to terminate your account for non-payment.
5.6 Free Trials
We may offer free trials for paid Subscription Plans. If you sign up for a free trial:
- You must provide valid payment information;
- You will automatically be charged for the full Subscription Plan price at the end of the trial period unless you cancel before the trial expires;
- Free trials are limited to one per user and may not be combined with other promotional offers;
- We reserve the right to determine eligibility for free trials and to modify or discontinue free trial offers at any time.
6. CANCELLATION, REFUNDS, AND DOWNGRADES
6.1 Cancellation by You
You may cancel your Subscription at any time through your account settings or by contacting support@beaconaccessibility.com. Cancellations take effect at the end of your current billing cycle. You will continue to have access to paid features until the end of the billing period you have paid for.
6.2 No Refunds
Except as required by law or as expressly set forth in these Terms, all fees are non-refundable. We do not provide refunds or credits for:
- Partial months or years of service;
- Unused scans or projects;
- Subscriptions cancelled mid-cycle;
- Refunds for any fees paid before cancellation;
- Accounts terminated for violations of these Terms.
6.3 Downgrading Your Plan
You may downgrade your Subscription Plan at any time. Downgrades take effect at the start of the next billing cycle. If your current usage exceeds the limits of the lower-tier plan, you may be required to reduce your usage before the downgrade takes effect. No refunds or credits will be issued for the difference in price.
6.4 Termination by Us
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, for:
- Violation of these Terms;
- Fraudulent, abusive, or illegal activity;
- Non-payment of fees;
- Extended periods of inactivity;
- Any reason at our sole discretion.
If we terminate your account for cause (violation of Terms, fraud, etc.), you will not be entitled to any refund of prepaid fees.
7. DATA RETENTION AND DELETION
7.1 Data Retention
We retain your Account data, scan results, and Content in accordance with our Privacy Policy. Specific retention periods include:
- Account data: Retained for 30 days after account deletion;
- Scan results: Retained for 90 days after project deletion;
- Scanned website content: Retained for 90 days;
- Financial records: Retained for 7 years in compliance with legal requirements.
7.2 Account Deletion
You may request deletion of your account at any time by contacting support@beaconaccessibility.com or through your account settings. Upon account deletion:
- Your access to the Service will be immediately revoked;
- Your active subscription will be cancelled (no refunds will be issued);
- Your Content will be deleted in accordance with the retention periods specified in Section 7.1;
- Some information may be retained for legal, regulatory, or security purposes as described in our Privacy Policy.
7.3 Data Portability
You may request a copy of your data (including scan results and reports) in a machine-readable format by contacting support@beaconaccessibility.com. We will provide the data within 30 days of your request, subject to verification of your identity.
8. INTELLECTUAL PROPERTY RIGHTS
8.1 Our Intellectual Property
The Service, including its software, design, text, graphics, logos, icons, images, audio clips, video clips, data compilations, and all other content, is the exclusive property of Beacon or its licensors and is protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.
All trademarks, service marks, trade names, and logos displayed on the Service (collectively, "Marks") are the property of Beacon or third parties. You may not use any Marks without our prior written consent or the consent of the applicable third party.
8.2 Your Content
You retain all ownership rights to the Content you submit to the Service. By uploading, submitting, or otherwise making Content available through the Service, you grant us a worldwide, non-exclusive, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Content solely to:
- Provide, maintain, and improve the Service;
- Generate scan results, reports, and analytics;
- Comply with legal obligations;
- Enforce these Terms.
This license terminates when you delete your Content or your account, except to the extent we are required to retain copies for legal, regulatory, or backup purposes as described in Section 7.1.
8.3 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, and commercialize such Feedback without any obligation to you. You waive any moral rights you may have in such Feedback.
9. THIRD-PARTY SERVICES AND LINKS
9.1 Third-Party Services
The Service may integrate with or contain links to third-party services, websites, or resources ("Third-Party Services"). These Third-Party Services are not under our control, and we are not responsible for:
- The availability, accuracy, or content of Third-Party Services;
- The privacy practices or terms of use of Third-Party Services;
- Any damages or losses incurred through your use of Third-Party Services.
Your use of Third-Party Services is at your own risk and subject to the terms and conditions and privacy policies of those services.
9.2 No Endorsement
The inclusion of links to Third-Party Services does not imply our endorsement, sponsorship, or recommendation of those services or their content.
10. DISCLAIMERS AND LIMITATIONS OF LIABILITY
10.1 No Warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, OR DATA ACCURACY.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
- DEFECTS OR ERRORS WILL BE CORRECTED;
- THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE;
- THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
10.2 Accessibility Testing Limitations
YOU ACKNOWLEDGE AND AGREE THAT:
- Automated accessibility testing tools, including the Service, have inherent limitations and cannot detect all accessibility issues;
- The Service provides guidance and recommendations but does not guarantee WCAG compliance or legal compliance with accessibility laws (such as the ADA, Section 508, or similar regulations);
- You are solely responsible for verifying and ensuring the accessibility and legal compliance of your websites and applications;
- The Service should be used as part of a comprehensive accessibility strategy that includes manual testing, user testing with individuals with disabilities, and expert review;
- We make no representations or warranties regarding the accuracy, completeness, or reliability of scan results.
10.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BEACON, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, DATA, OR USE;
- LOSS OF GOODWILL OR REPUTATION;
- BUSINESS INTERRUPTION;
- COST OF SUBSTITUTE GOODS OR SERVICES;
- PERSONAL INJURY OR PROPERTY DAMAGE;
- LEGAL OR REGULATORY PENALTIES OR FINES;
ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.4 Cap on Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- $100 USD; OR
- THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICE DURING THE 12 MONTHS PRECEDING THE CLAIM.
10.5 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Beacon, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to:
- Your use or misuse of the Service;
- Your violation of these Terms;
- Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights;
- Any Content you submit, upload, or transmit through the Service;
- Any fraudulent, illegal, or unauthorized activity conducted through your account;
- Your breach of any representation or warranty contained in these Terms.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims.
12. DISPUTE RESOLUTION AND ARBITRATION
12.1 Informal Dispute Resolution
Before initiating arbitration or litigation, you agree to first contact us at legal@beaconaccessibility.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiations within 60 days of receiving notice of the dispute.
12.2 Binding Arbitration
If we are unable to resolve the dispute informally, you and Beacon agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, "Disputes") shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, except as modified by this Section 12.
The arbitration shall be conducted by a single arbitrator in Bloomington, Indiana, or remotely via videoconference if agreed by both parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
12.3 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
12.4 Class Action Waiver
YOU AND BEACON AGREE THAT DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU AND BEACON EXPRESSLY WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASS-WIDE BASIS.
12.5 Costs of Arbitration
Each party shall bear its own costs and fees associated with arbitration, except that if you prevail on a claim for which you are entitled to attorneys' fees under applicable law, the arbitrator may award reasonable attorneys' fees to you.
12.6 Opt-Out Right
You may opt out of the arbitration agreement by sending written notice to legal@beaconaccessibility.com within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, Disputes will be resolved through litigation in the courts specified in Section 13.2.
13. GOVERNING LAW AND JURISDICTION
13.1 Governing Law
These Terms and any Disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Indiana, United States of America, without regard to its conflict of law principles.
13.2 Jurisdiction and Venue
To the extent that arbitration does not apply (as set forth in Section 12), you and Beacon agree to submit to the exclusive jurisdiction of the state and federal courts located in Monroe County, Indiana, for the resolution of any Disputes. You waive any objection to venue in such courts and any claim that such courts are an inconvenient forum.
14. MODIFICATIONS TO THE TERMS
14.1 Right to Modify
We reserve the right to modify, amend, or update these Terms at any time, in our sole discretion. If we make material changes, we will provide notice by:
- Sending an email to the address associated with your account; and/or
- Posting a notice on the Service or our website; and/or
- Requiring you to accept the updated Terms upon your next login.
14.2 Effective Date of Changes
Changes to these Terms will become effective 30 days after notice is provided, unless you opt out by cancelling your account before the changes take effect. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the updated Terms.
14.3 Disagreement with Changes
If you do not agree to any changes to these Terms, you must cancel your account and stop using the Service before the changes take effect. No refunds will be provided for cancellations based on disagreement with updated Terms.
15. TERMINATION
15.1 Termination by You
You may terminate these Terms and close your account at any time by contacting support@beaconaccessibility.com or using the account deletion feature in your account settings. Termination by you will be effective at the end of your current billing cycle.
15.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms;
- Fraudulent or illegal activity;
- Non-payment of fees;
- Prolonged inactivity;
- At our sole discretion.
15.3 Effect of Termination
Upon termination of your account:
- Your right to access and use the Service will immediately cease;
- Your Content will be deleted in accordance with our data retention policies (Section 7);
- You will remain liable for all fees and charges incurred prior to termination;
- Sections of these Terms that by their nature should survive termination (including but not limited to Sections 8, 10, 11, 12, 13, and 16) will survive termination.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Beacon regarding your use of the Service and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
16.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it will be severed from these Terms.
16.3 Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Beacon.
16.4 Assignment
You may not assign or transfer these Terms or any rights or obligations hereunder, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this Section will be null and void.
16.5 Force Majeure
We will not be liable for any failure or delay in performing our obligations under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
16.6 Independent Contractors
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Beacon. You have no authority to bind Beacon or incur any obligation on its behalf.
16.7 Notices
All notices required or permitted under these Terms shall be in writing and delivered by email to the email address associated with your account (in your case) or to legal@beaconaccessibility.com (in our case). Notices will be deemed given when received.
16.8 Export Control
The Service may be subject to U.S. export control laws and regulations. You agree to comply with all applicable export and import control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, and not to transfer, directly or indirectly, any Service or technical data to any prohibited country, entity, or person.
16.9 U.S. Government Rights
If you are a U.S. government entity or using the Service on behalf of a U.S. government entity, the Service is a "commercial item" as defined in 48 C.F.R. §2.101, consisting of "commercial computer software" and "commercial computer software documentation" as such terms are used in 48 C.F.R. §12.212. You have only those rights to the Service as are granted to all other users under these Terms.
16.10 Equitable Relief
You acknowledge that any breach of Sections 3 or 8 (License Grant and Restrictions, Intellectual Property Rights) may cause irreparable harm to Beacon for which monetary damages would be an inadequate remedy. Accordingly, Beacon shall be entitled to seek injunctive or other equitable relief to enforce these sections without the need to post a bond.
16.11 Headings
The section headings in these Terms are for convenience only and have no legal or contractual effect.
17. PRIVACY AND DATA PROTECTION
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, store, and protect your personal information and Content. By using the Service, you consent to the data practices described in the Privacy Policy.

18. SECURITY
We implement reasonable security measures to protect your data and the Service from unauthorized access, use, or disclosure, as described in our Security Policy. However, no system is entirely secure, and we cannot guarantee the absolute security of your data. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

19. ACCESSIBILITY COMPLIANCE DISCLAIMER
